1. Overview and Purpose

OptimSolutions provides digital infrastructure and technology services, including website development, hosting, automation, software, and artificial-intelligence solutions. These Terms outline your rights, our rights, and the expectations for all clients using our Services.

2. Eligibility

By using our Services, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction) and authorized to enter into this Agreement on behalf of yourself or your organization.

3. AI-Powered Recommendations

The AI-generated recommendations are based on the information you provide and are intended as preliminary guidance. Actual service delivery and specific strategies will be determined through direct consultation with our team. All AI recommendations are provided "as is" for informational purposes only.

4. Privacy and Data Collection

We collect and process information you provide through our consultation forms to deliver personalized recommendations. Your data is handled in accordance with applicable privacy laws. Both parties agree to maintain confidentiality of proprietary information, credentials, and data. We use reasonable technical safeguards but cannot guarantee absolute security.

5. Intellectual Property Protection

All OptimSolutions websites, applications, scripts, automation systems, and AI models are protected by U.S. and international copyright law. All content, designs, graphics, and materials on this website are the exclusive property of OptimSolutions LLC. Any unauthorized duplication, resale, or distribution is strictly prohibited.

6. Website Ownership and License

All website source code, structure, templates, and systems created by OptimSolutions are the exclusive intellectual property of OptimSolutions LLC. Clients receive a limited, non-exclusive, non-transferable, revocable license to use their website while their account is active and in good standing. Upon cancellation or non-payment, this license terminates automatically.

7. Proprietary Software and Remote Access Rights

OptimSolutions may install proprietary software, automation tools, or AI systems on client servers or devices. All installed software remains the exclusive property of OptimSolutions, regardless of where hosted. OptimSolutions retains the right to revoke, restrict, or remove access at any time, and may connect remotely for maintenance, updates, or removal.

8. Third-Party Software and Integrations

Certain Services rely on third-party software or APIs governed by their own licensing terms. OptimSolutions is not responsible for price changes, security issues, or performance of third-party providers. Third-party hosting fees are the sole responsibility of the client.

9. Client Responsibilities

Clients are responsible for ensuring that all provided content is accurate, lawful, and properly licensed. Clients must not upload malware, engage in illegal activities, or interfere with system integrity. Unauthorized changes may result in immediate suspension without refund. You must promptly notify OptimSolutions of suspected security breaches.

10. Consultation Services

Scheduling a consultation does not create a binding service agreement. Specific terms, deliverables, timelines, and pricing will be detailed in a separate service agreement upon engagement.

11. Payments and Billing

Service fees are due as stated in your invoice or subscription plan. Non-payment beyond ten (10) days may result in suspension; non-payment beyond thirty (30) days may result in termination and deletion. Hosting plans renew automatically unless canceled in writing. All pricing is subject to change with at least thirty (30) days' notice.

12. Service Availability and Support

OptimSolutions strives to maintain 99.9% uptime and prompt response times. Maintenance, upgrades, or network interruptions may occasionally cause temporary downtime. We do not guarantee uninterrupted access and reserve the right to modify or suspend services without prior notice.

13. Termination and Right to Refuse Service

Either party may terminate with thirty (30) days' written notice. OptimSolutions reserves the right to cancel, suspend, or terminate Services with any client at any time, for any reason, including non-payment, abusive conduct, illegal use, or damage to OptimSolutions' reputation. Upon termination, all licenses immediately expire and hosted software may be disabled or removed.

14. Disclaimers and Limitation of Liability

All Services are provided "as is" and "as available." OptimSolutions disclaims all warranties, express or implied. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid for our services in the preceding six (6) months.

15. Indemnification

Clients agree to indemnify, defend, and hold harmless OptimSolutions, its affiliates, and employees from any claims, damages, or expenses arising out of client content, violation of these Terms, or misuse of Services.

16. Legal Fees and Cost Recovery

If a client initiates any claim or lawsuit against OptimSolutions and does not substantially prevail, the client agrees to reimburse OptimSolutions for all legal fees and related expenses. The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.

17. Force Majeure

OptimSolutions shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, power failures, or governmental actions.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee. All disputes will be resolved exclusively in the state or federal courts of Shelby County, Tennessee, and both parties consent to jurisdiction therein.

19. Changes to Terms

OptimSolutions reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to this website. Existing clients may be grandfathered under prior terms. Your continued use of the service constitutes acceptance of modified terms.

20. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.
