These Terms of Service (“Terms”) govern your access to and use of websites, software, hosting, automation systems, messaging services, domain management, and related services (“Services”) provided by OptimSolutions LLC (“we,” “us,” or “our”).

OptimSolutions LLC provides subscription-based digital infrastructure services, including websites, hosting, automation, CRM systems, and SMS messaging used for appointment confirmations, reminders, service updates, and customer communications.

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility (Age Restriction)

You must be at least 18 years of age to use the Services, including SMS messaging features. By using the Services, you represent and warrant that you meet this requirement.

2. Subscription-Based Services (No Ownership)

OptimSolutions LLC provides all Services strictly on a subscription basis.

Clients do not own any website, software, hosting environment, automation, messaging system, or platform provided.

Clients are granted a limited, non-transferable, revocable license to use the Services only while their subscription is active and in good standing.

Upon cancellation, non-payment, suspension, or termination, all access is revoked immediately.

3. Intellectual Property & Creative Rights

All designs, websites, code, automations, templates, workflows, systems, messaging logic, AI configurations, and creative materials created or provided by OptimSolutions LLC remain the exclusive intellectual property of OptimSolutions LLC, unless otherwise agreed to in writing.

Clients may not copy, resell, sublicense, export, or reuse any portion of the Services outside of the OptimSolutions LLC platform.

4. Client Logos & Branding License

Clients grant OptimSolutions LLC a royalty-free, non-exclusive license to use their business name, logo, trademarks, and branding solely to deliver the Services, host websites, enable messaging, and display websites publicly.

No additional compensation is owed for this usage.

5. Domain, Website & System Access Authorization

Clients may grant OptimSolutions LLC access to domains, DNS records, hosting accounts, email systems, phone systems, and third-party platforms.

By doing so, clients expressly authorize OptimSolutions LLC to:

Access, configure, and modify domains and DNS records

Edit website content, structure, and integrations

Configure SMS, email, automation, and communication workflows

Manage hosting, security, performance, and compliance

This authorization remains valid for the duration of the subscription.

6. Administrative Control & Editing Rights

OptimSolutions LLC retains administrative control over all systems it provides and may make updates or changes necessary for:

Functionality

Security

Performance

Platform updates

Legal, carrier, or compliance requirements

7. SMS Messaging & Communications (Required Disclosure)

OptimSolutions LLC offers SMS messaging as part of its Services. Users who opt in may receive messages including:

Appointment confirmations and reminders

Service updates

Support and conversational messages

Responses to inquiries

Cancellation & Help

You can cancel the SMS service at any time by texting “STOP” to the phone number from which messages are sent. After you send STOP, we will send a confirmation message and you will no longer receive SMS messages from us. If you wish to rejoin, you may opt in again as you did originally.

Additional SMS Disclosures

Carriers are not liable for delayed or undelivered messages.

Message and data rates may apply for any messages sent to or from you.

Message frequency varies based on service usage and interaction.

OptimSolutions LLC does not sell or share mobile phone numbers for marketing purposes.

8. Additional Features, Usage-Based Fees & Add-Ons

Certain Services may incur additional charges, including but not limited to:

SMS or phone usage

Email sending

AI or automation features

Third-party integrations

Premium modules or add-ons

Usage-based fees are non-refundable.

9. Payment Responsibility & Billing

Clients are responsible for all charges incurred, including:

Subscription fees

Add-on services

Usage-based fees

Third-party service costs

Failure to maintain a valid payment method may result in suspension or termination.

10. Termination & Loss of Access

If a client cancels, fails to pay, or violates these Terms:

Access to all Services is immediately revoked

OptimSolutions LLC is not obligated to transfer websites, systems, files, or configurations unless agreed to in writing

11. Acceptable Use

Clients may not use the Services for:

Illegal or fraudulent activity

Spam, unsolicited messaging, or purchased/rented lead lists

Content violating carrier rules, platform policies, or applicable laws

Violations may result in immediate termination.

12. Third-Party Services Disclaimer

OptimSolutions LLC may rely on third-party providers (hosting, carriers, registrars, automation platforms). We are not responsible for outages, pricing changes, or performance issues caused by third parties.

13. No Guarantees

OptimSolutions LLC makes no guarantees regarding revenue, leads, sales, SEO, or advertising results. Services are provided “as is” and “as available.”

14. Indemnification

Clients agree to indemnify and hold harmless OptimSolutions LLC from claims arising from client content, misuse, or violations of laws or carrier rules.

15. Limitation of Liability

Total liability shall not exceed the amount paid by the client in the three (3) months preceding the claim.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Tennessee. Venue is exclusively Tennessee courts.

17. Attorney’s Fees

The prevailing party is entitled to reasonable attorney’s fees and costs.

18. Force Majeure

OptimSolutions LLC is not liable for delays caused by events beyond reasonable control.

19. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship.

20. Modifications

OptimSolutions LLC may update these Terms at any time. Continued use constitutes acceptance.
